U.S. Asia Capital Conference 2001sm (the "Conference") presented by U.S. Asia Venture Association ("USAVA") is offering the opportunity to qualified firms to become a Co-Sponsor, Sustaining Sponsor or Supporting Sponsor of the Conference.

THE CONFERENCE

The Conference will be the first largest and most important conference in the industry on U.S. Asia capital for emerging growth and large market companies. The 2001 Conference will present more than 100 speakers, is supported by hundreds of sponsors and over nearly 2,000 registrants are invited. The Conference 2001 is expected to be the largest with an emphasis on attracting emerging growth and large market companies.

The target audience for the Conference is emerging growth and large market companies from development stage to $100 billion in revenues. The mission of the Conference is to assist these companies in raising capital by presenting speakers who finance these companies in a wide range of types and sizes of transactions including public and private, debt and equity financings ranging in size from under $500,000 to over $100 billion.

The Conference 2001 will present a case study of a prominent company that has successfully raised capital and two prominent Keynote speakers. At least nine panels of capital providers will be presented. Initial plans are for these panels to focus on the following types of transactions:

Investment Banking I

Initial public offerings ($10 Million to $40 Million), private offerings, bridge financings.

Investment Banking II

Initial public offerings ($40 Million to $100 Billion), secondary offerings, private and public debt offerings.

Mezzanine Financing

Subordinated debt financing.

Senior Debt Financing

Bank financing, asset-based financing and cash flow lending.

Financing Growth Through Acquisitions and Industry Consolidations

Acquisition financing, leveraged buyouts, recapitalizations and exit strategies.

Financing the Public Company

Secondary offerings, private placements for public companies, Reg S offerings, dealing with securities analysts, investor relations.

Corporate Investments/Strategic Alliances

Corporate investments, strategic alliances, joint ventures and technology licensing as funding sources.

Venture Capital

Early stage venture capital financings.

Early Stage Financings

Angel investors, small public offerings (less than $5 Million); small private placements ($500,000 to $5 Million); direct public and private offerings; raising money on the Internet, equipment leasing, regulation changes facilitating capital formation by small businesses, Community Development Bank financing and venture leasing.

Two of these panels are directed at early stage companies and seven panels focus on later stage middle market companies including one panel for publicly traded companies.

CONFERENCE PROMOTIONAL CAMPAIGN

The Conference 2001 promotional campaign will be extensive and highly professional. Major objectives of the promotional campaign are to attract attendees to the Conference and to enhance the image and public relations of the Co-Sponsors and Sustaining Sponsors. The promotional campaign will be substantially as follows with possible modifications.

The Conference will print and distribute at least one million color brochures and fliers and provide copies to sponsors to mail to their lists. The logos of Co-Sponsors will appear on the cover and on the inside of the color brochure and the names (not logos) of Sustaining Sponsors will appear on the inside of the brochure.

The Conference 2001 expects to place advertisements in the Los Angeles Times, the Wall Street Journal (California edition), the Los Angeles Business Journal and the Orange County Business Journal, and other publications in San Diego, Ventura, Santa Barbara and Riverside areas as well as medias from Asian countries. Co-Sponsor logos and Sustaining Sponsor names will appear on these advertisements.

The USAVA website will include pages for the Conference which will display logos of Co-Sponsors and names of Sustaining and Supporting Sponsors with two-way hot links between the USAVA and the sponsor websites.

The Conference will engage a public relations firm to provide public relations and media relations services that will generate publicity and media attention before the Conference and at the Conference and pre-Conference events. Media representatives will be encouraged to interview sponsors.

CONFERENCE HANDOUT MATERIALS AND SIGNAGE

The Conference will distribute to all attendees the U.S. Asia Capital Guidesm, a three-ring binder designed to be a valuable resource for companies seeking investment capital and their advisors. It will contain detailed information on each of the speakers and their companies and will contain advertisements of the Co-Sponsors, Sustaining Sponsors and Supporting Sponsors. We will promote the U.S. Asia Capital Guidesm as a valuable resource for sources of investment capital and intermediaries, service providers and other professionals that serve emerging growth and large market companies and the companies that provide them capital.

The Conference will hand out to each attendee a carry bag with the logos of the Co-Sponsors. The Conference will provide each of the 100 speakers and each sponsor with a plaque, Lucite cube or similar commemorative gift that will include Co-Sponsor logos. The Conference will provide major banners and signage including the logos of the Co-Sponsors. Names of Sustaining and Supporting Sponsors will be displayed at the Conference on signage.

SPONSOR COMMITMENTS AND BENEFITS

Sponsor benefits will include being associated with the largest event in Southern California on U.S. Asia Capital, promoting name recognition by being included in the extensive marketing campaign and exposure at the Conference to the largest attendee group that will be produced during the year.
